Article 1. Purpose and scope
These terms of sale govern all sales concluded on the wholesale-matcha.eu site by the company IMPACT, a simplified joint stock company with share capital of 1,000 euros, Paris trade and companies register 991 071 341, registered office 58 rue de Monceau, 75008 Paris, France, hereinafter the Seller.
They apply to every customer, whether acting as a business or as a consumer. Certain provisions, expressly identified, benefit only consumer customers within the meaning of the French consumer code.
Any order implies acceptance of these terms without reservation. They prevail over any purchasing terms of the customer, unless the Seller has agreed otherwise in writing.
Article 2. Products
The Seller sells organic matcha green tea powder, of food grade quality, packed in bags of 10 or 20 kg depending on the reference. These products are raw materials intended for the manufacture of food supplements, cosmetic products and foodstuffs, as well as for direct consumption.
The essential characteristics of the products are shown on the product pages of the site. The technical values given are typical values. The contractual values are those of the certificate of analysis of the batch delivered, provided on request.
The business customer remains solely responsible for the regulatory compliance of the finished product it develops, in particular its labelling, its claims and its product information file.
Article 3. Orders
The minimum order is one bag per reference, that is 10 kg for ceremonial grade matcha and 20 kg for grade AA and culinary matcha.
The customer selects the products and the pack size wanted, checks the details of the order then confirms it. The sale is complete once the Seller has sent the order confirmation by email.
The Seller reserves the right to refuse or cancel any order on legitimate grounds, in particular in the event of a supply shortage, a previous payment dispute or an order that is abnormal in view of the customer's activity.
Article 4. Prices
Prices are expressed in euros excluding tax. They cover the goods alone, excluding delivery costs, which are shown before the order is confirmed.
The price per kilogram is single, public and the same for every buyer, whatever the volume ordered. The applicable price is the one shown on the product page on the day of the order.
Value added tax at the rate in force is added at payment. Business customers established in a European Union member state other than France and holding a valid intra-community VAT number may benefit from the exemption provided for intra-community supplies, subject to validation of that number. Supplies outside the European Union are made free of tax, with import duties and taxes remaining payable by the recipient.
The Seller reserves the right to change its prices at any time. Products are invoiced at the price in force at the time the order is recorded.
Article 5. Payment
Payment is due in full at the time of ordering. The accepted means of payment are presented during checkout. Payment by bank transfer may be offered for volume orders, on request sent to contact@wholesale-matcha.eu.
In accordance with article L.441-10 of the French commercial code, any late payment by a business customer automatically triggers late payment penalties equal to three times the legal interest rate, together with a fixed recovery cost indemnity of 40 euros, without prejudice to any other remedy.
Article 6. Retention of title
The goods delivered remain the property of the Seller until their price has been paid in full. Risk nevertheless transfers as soon as the goods are handed over to the customer or, for business customers, as soon as they are handed over to the carrier.
Article 7. Delivery
Products are delivered to the address given by the customer at the time of the order.
Indicative lead times are 3 to 5 working days to mainland France and 5 to 8 working days within the European Union, from confirmation of payment. Pallet deliveries may require additional time and an appointment.
Delivery costs are free to mainland France and within the European Union from 500 euros excluding tax of goods.
It is for the customer to check the condition and the quantity of the goods on receipt. Any damage, shortage or apparent lack of conformity must be the subject of precise and complete reservations on the delivery note, confirmed to the carrier by registered letter within three working days of receipt in accordance with article L.133-3 of the French commercial code, and notified to the Seller within the same period at contact@wholesale-matcha.eu.
Article 8. Right of withdrawal
Consumer customers. In accordance with article L.221-18 of the French consumer code, a consumer customer has fourteen days from receipt of the products to exercise the right of withdrawal, without having to give a reason. The request is sent to contact@wholesale-matcha.eu. Products must be returned in their original packaging, intact and with the seal unbroken. Return costs remain payable by the customer. The refund is made within fourteen days of receipt of the returned products.
In accordance with article L.221-28 of the French consumer code, the right of withdrawal cannot be exercised for products whose seal has been broken after delivery and which cannot be returned for reasons of hygiene or health protection, which is the case for opened bags of food powder.
Business customers. The right of withdrawal does not apply to sales concluded between businesses. Products ordered by a business are neither taken back nor exchanged, unless the Seller has agreed in writing beforehand or a lack of conformity has been established.
Article 9. Warranties
The Seller warrants that the products delivered comply with the specifications of the certificate of analysis of the corresponding batch.
Consumer customers benefit from the legal warranty of conformity provided for in articles L.217-3 and following of the French consumer code, as well as from the legal warranty against hidden defects provided for in articles 1641 and following of the French civil code.
Any claim relating to a lack of conformity that is not apparent must be notified to the Seller as soon as possible after it is discovered, together with the batch number, photographs and, where applicable, a sample kept in its original packaging.
Article 10. Storage and use
Products must be kept in their original packaging, in a dry, clean and ventilated room, away from direct light and significant changes in temperature. The Seller cannot be held liable for deterioration resulting from unsuitable storage conditions after delivery.
Article 11. Liability
In business to business relations, the Seller's liability is limited to the amount excluding tax of the order concerned. The Seller cannot be held liable for indirect damage, in particular loss of operations, loss of customers, loss of turnover or damage to image.
These limitations apply neither in the event of gross negligence or wilful misconduct, nor in the event of personal injury, nor in relations with a consumer customer.
Article 12. Force majeure
The Seller cannot be held liable for failing to perform its obligations in the event of a force majeure event within the meaning of article 1218 of the French civil code, in particular a supply shortage beyond its control, a transport blockage, a natural disaster or a decision of the public authorities.
Article 13. Personal data
Data collected as part of the order is processed in accordance with our privacy policy.
Article 14. Dispute resolution
These terms are governed by French law.
In the event of a dispute, the parties will endeavour to find an amicable solution. Failing that, and for business customers, express jurisdiction is given to the Paris commercial court, including where there are several defendants or a warranty claim.
For consumer customers, the legal rules on territorial jurisdiction apply. In accordance with articles L.612-1 and following of the French consumer code, a consumer customer may use a consumer mediator free of charge with a view to resolving the dispute amicably, after having sent a written complaint to the Seller.
